What Is an LLC Operating Agreement?

An LLC operating agreement is a legal document that sets out foundational rules and guidelines for matters such as ownership percentages, members’ rights and duties, and how the LLC will be managed and operated.

An operating agreement is particularly invaluable for a multi-member LLC because it lays out the terms of agreement between LLC members. But even if your LLC is a single-member LLC, it still makes good business sense to create an operating agreement, as having one clarifies your intention to create a separate legal business entity.
